Southwest Airlines Enacts "Poison Pill" Defense in Response to Activist Investor

Southwest Airlines has recently made headlines for adopting a so-called "poison pill" strategy, a move aimed at thwarting activist investor Elliott Investment Management from increasing its stake in the airline. This decision comes in the wake of Elliott's push for leadership changes at Southwest, citing disappointing financial results and poor execution. Elliott, which has a roughly 11% stake in Southwest, revealed its investment in June and has been vocal about its desire to replace CEO Bob Jordan and Chairman Gary Kelly. The activist investor has criticized Southwest's management for their "stubborn unwillingness" to modernize the airline, pointing to outdated software, a dated monetization strategy, and antiquated operations processes. Elliott has also highlighted the operational meltdown in December 2022 as evidence of Southwest's mismanagement.

In response to Elliott's push, Southwest's board of directors has adopted a shareholder rights plan, commonly known as a "poison pill." This plan is designed to prevent Elliott from acquiring a larger stake in the airline without the board's approval. Under the plan, if Elliott or any other investor acquires 12.5% or more of Southwest's shares, other shareholders will be granted the right to purchase additional shares at a discount.
